Overview & Acceptance
Obelisk Talent Inc. (“Obelisk Talent,” “we,” “us,” or “our”) is a Canadian corporation that connects Canadian businesses with pre-vetted, full-time dedicated professionals based across the Middle East. These Terms of Service (“Terms”) govern your use of obelisktalent.ca and any engagement with us.
By visiting this website, submitting an inquiry, signing a Master Services Agreement (“Master Agreement”), or accepting an invoice, you agree to these Terms. If you do not agree, please do not use the site or enter into an engagement with us.
Our Privacy Policy describes how we handle personal information and is incorporated into these Terms by reference.
Definitions
For clarity throughout these Terms:
- Client — the business that engages Obelisk Talent to provide Services.
- Talent — a pre-vetted professional matched to a Client through our network. Talent is contracted by Obelisk Talent, not by the Client directly.
- Services — sourcing, vetting, matching, onboarding, payroll, HR administration, and ongoing management of Talent.
- Engagement — a specific Talent placement with a Client, governed by a Master Agreement and (where applicable) a written statement of work.
- Monthly Fee — the all-inclusive flat rate invoiced in Canadian Dollars for each active Engagement.
- Master Agreement — the single B2B contract signed between Client and Obelisk Talent before the first Engagement begins.
The Services We Provide
Obelisk Talent operates a Talent-as-a-Service model across four talent categories:
- Tech & IT — engineering, DevOps, data, product.
- Marketing & Sales — content, SEO, paid media, outbound.
- Creatives — design, video, brand.
- Finance & Operations — accounting, executive assistance, operations support.
For every Engagement, Obelisk Talent is the employer or contractor of record for the Talent. The Client does not directly employ Talent, assume tax obligations for Talent, or hold payroll responsibility. That separation is fundamental to the Services — it is what lets a Client onboard a dedicated team member in days instead of months, without standing up international HR infrastructure.
Obelisk Talent retains ultimate control over the selection, supervision, and compensation of Talent, while the Client directs Talent’s day-to-day work product during the Engagement.
Engagement Process
Every Engagement follows the same three-step process: Brief, Match, Onboard.
- Brief — a 15-minute scoping call to align on role, seniority, tech stack, and budget.
- Match — within a few business days we present two or three pre-vetted candidates with CVs and interview notes. The Client interviews and approves.
- Onboard — on approval, the Talent starts. We handle contracts, payroll setup, equipment coordination, and orientation.
Our target is ten business days from brief to a Talent starting. Complex roles may take longer; we will communicate any deviation promptly.
Fees, Invoicing & Currency
All fees are quoted and invoiced in Canadian Dollars (CAD). Our published tiers reflect the Monthly Fee for a full-time, dedicated Talent:
- Junior (1–2 years) — $1,500–$2,000 CAD / month.
- Mid-Level (2–5 years) — $2,500–$3,500 CAD / month.
- Senior (5+ years) — $3,500–$5,000 CAD / month.
- Lead (7+ years) — $5,000–$6,500 CAD / month.
Monthly Fees are billed in advance. The first invoice is due before the Talent’s start date; subsequent invoices are NET-15 from issuance. Obelisk Talent does not charge recruiter fees, placement fees, setup fees, or percentage markups. Every Monthly Fee is all-inclusive: sourcing, vetting, onboarding, payroll, HR, and ongoing management.
Late payment may result in the suspension of an Engagement after seven (7) days’ written notice. Fees more than thirty (30) days overdue accrue interest at 1.5% per month (approximately 19.56% per annum).
Replacement Guarantee
If a Talent is not the right fit in the first thirty (30) days of their start date, Obelisk Talent will source a replacement at no additional charge, provided the Client has:
- Given the Talent reasonable access, tools, and feedback during the period.
- Raised concerns with Obelisk Talent in writing within the 30-day window.
- Paid all outstanding invoices to date.
The replacement process begins immediately upon written request. The Monthly Fee pauses for the affected role from the last business day of the outgoing Talent until the replacement’s first business day. Replacement is available once per Engagement within the 30-day window.
Client Responsibilities
A successful Engagement is a partnership. The Client agrees to:
- Provide an accurate, complete role brief and communicate any material changes promptly.
- Review shortlists and provide feedback within five (5) business days to keep the pipeline moving.
- Give Talent the access, tools, documentation, and context they need to do the work.
- Pay invoices in accordance with §05.
- Treat Talent professionally and in line with Canadian workplace norms — no harassment, discrimination, or unreasonable demands.
- Not attempt to engage Talent directly, or through any affiliate, outside of Obelisk Talent during the Engagement and for twelve (12) months following its end. See §08 for the non-circumvention detail.
Intellectual Property & Work Product
Client work product
All deliverables, code, designs, documents, and other work product created by Talent for a Client during an Engagement (collectively, “Work Product”) are assigned to the Client upon full payment of the corresponding Monthly Fee. Until payment is received in full, Work Product remains the property of Obelisk Talent.
Obelisk Talent property
Our vetting methodology, internal tools, templates, software platforms, trademarks, and brand remain the exclusive property of Obelisk Talent. Nothing in these Terms grants a Client license or ownership in that property.
Non-circumvention
A Client may not directly engage, employ, or contract any Talent introduced by Obelisk Talent — whether independently, through an affiliate, or through another agency — during an Engagement or within twelve (12) months of its end. If a Client wishes to transition a Talent to direct employment, a written buy-out may be negotiated, typically equal to six (6) months of the Talent’s Monthly Fee.
Confidentiality
Obelisk Talent, Clients, and Talent each agree to protect the other parties’ Confidential Information — any non-public information shared during an Engagement that a reasonable person would treat as confidential, whether marked as such or not. This includes business plans, source code, customer data, pricing, and unreleased products.
Customary exceptions apply. Information is not confidential if it:
- Was already publicly known when disclosed.
- Becomes publicly known through no fault of the receiving party.
- Was lawfully received from a third party with no duty of confidence.
- Was independently developed without use of the Confidential Information.
- Must be disclosed by law or court order — in which case the receiving party will give prompt written notice where legally permitted.
Confidentiality obligations survive for three (3) years following the end of the relevant Engagement, or longer where the information constitutes a trade secret. Personal data is additionally governed by our Privacy Policy.
Disclaimers & Limitation of Liability
Beyond the specific warranties set out in a signed Master Agreement, the Services are provided on an “as is” and “as available” basis. Obelisk Talent disclaims all other warranties, express or implied, to the fullest extent permitted by Canadian law — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Obelisk Talent’s aggregate liability under these Terms and any Engagement is capped at the total fees paid by the Client to Obelisk Talent in the three (3) months immediately preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost data — even if advised of the possibility of such damages.
Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, personal injury, death, or any liability that cannot lawfully be limited under Canadian law.
Termination
Either party may terminate an Engagement for any reason on thirty (30) days’ written notice. Monthly Fees are due in full for the notice period.
Either party may terminate an Engagement immediately by written notice if the other party:
- Materially breaches these Terms or the Master Agreement and fails to remedy the breach within fifteen (15) days of written notice.
- Becomes insolvent, files for bankruptcy, or has a receiver appointed over its assets.
- Engages in unlawful conduct materially affecting the Engagement.
On termination:
- All outstanding fees through the effective termination date become immediately due.
- Each party returns or destroys the other’s Confidential Information on request.
- Sections §08(Intellectual Property & Non-Circumvention), §09 (Confidentiality), and §10 (Disclaimers & Liability) survive termination indefinitely.
Governing Law, Changes & Contact
Governing law
These Terms, the Master Agreement, and every Engagement are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Nova Scotia for any dispute that cannot first be resolved in good faith.
Changes to these Terms
We may update these Terms from time to time to reflect changes in our Services, operations, or legal obligations. Material changes will be announced by updating the “Last updated” date above and, where appropriate, by emailing active Clients. Continued use of obelisktalent.ca or continuation of an Engagement after the effective date of such changes constitutes acceptance of the revised Terms.
